GENERAL TERMS OF USE

Date of last update: February 23, 2026

Article 1. Introduction

Purpose. These General Terms of Use (the “TOU”) govern your access to and use of our complete booking platform (the “Platform”), accessible through our website at https://www.naboo.app (the “Site”).

Scope. These TOU apply to anyone who browses or accesses the Site (“Visitor”) and anyone who has registered an account (“Registered User”) to access the Platform. Visitors and Registered Users are collectively referred to as “you.” To be a Registered User, you must be authorized to act on behalf of the Client or the Service Provider.

Some sections of these TOU apply to both Visitors and Registered Users, while others apply only to Registered Users. These TOU apply to you regardless of your location, except where local laws expressly supersede. Nothing in these TOU shall exclude rights granted to you by applicable mandatory local law which cannot be waived by contract.

Legal Force. This TOU is a legally binding agreement between you and the operator of the Site, NABOO GROUP SAS, a French simplified joint stock company (société par actions simplifiée) (904 443 462 R.C.S. Paris - 10 rue de Penthièvre, 75008 Paris) (“Naboo,” “we,” or “us”). While NABOO GROUP SAS is the sole operator of the Site and the primary contracting party to these TOU, the protections, disclaimers, and limitations of liability set forth herein expressly extend to its Affiliates.

Your access and use of the Site shall be considered your acceptance of these terms. Please read these TOU carefully before using this Site or the Platform.

Article 2. Definitions

In addition to the terms defined elsewhere in these TOU, the capitalized terms specified below shall have the meaning assigned to them under this article. In the event of contradiction between these definitions and those in your written Agreement with us (if applicable), the latter shall supersede.

Article 6. Account Access & Deletion

Account Access. You can access your Account using the Credentials you chose at the time of registration. If you forget the password to your Account, click on “Forgot your password?” and follow the instructions sent by email to reset your password. You are responsible for the confidentiality of your password and may not disclose it to any third party for any reason.

Authorized Use. Any connection to an Account using the correct Credentials will be presumed to have been made by you, the Account owner, unless the connection is solely attributable to Naboo. Consequently, if you share your Credentials with a third party and it results in unauthorized Account access, you shall bear sole responsibility for any consequences that follow, including Service failure and security risks, and agree to compensate Naboo for resulting damages.

Notice of Unauthorized Access. In the event of unauthorized access to your Account or use of your Credentials by a third party, you must immediately inform us in writing. Upon receipt of the written notice, we will suspend access to the Account and email you to verify your identity and restore access.

Deletion. You can delete your Account at any time. However, Account deletion does not terminate any ongoing obligations arising from an Agreement or relevant Implementation Agreement.

We reserve the right to delete your Account in the event the Agreement is terminated for any reason.

Article 7. Platform Rules & Acceptable Use

Acceptable Use. You must use the Site and the Platform in accordance with these TOU, the Privacy Policy, all applicable laws and regulations, and professional conduct standards. By using the Platform, you represent and warrant that you have the right and authority to enter into these TOU, and that your use complies with all applicable laws, including those related to anti-corruption, bribery, and data protection.

Restrictions. Any use of the Platform contrary to its purpose is strictly prohibited and constitutes a violation of these TOU. Prohibited behavior includes, but is not limited to, scraping, reverse-engineering, harmful content, unauthorized access, interference, impersonation, fraud, misuse, unauthorized resale, and tampering with reservations. Please notify us immediately if you become aware of any misuse. We may suspend or terminate your Account if you violate the terms of these TOU.

Article 8. Reservation Process

Searching for Business Travel Services. You can browse available Business Travel Services by clicking “Explore the collection” in your Account space, or by searching directly on the Platform landing page by entering your destination, travel dates, and number of participants. You can further refine the search by applying filters (e.g., budget, number of rooms, venue type, amenities). You can then save selected Business Travel Services to your Account dashboard, where you can easily compare quotes.

You can also request assistance from a Naboo representative by clicking on “Submit a Brief” at the top of the Site. You will be prompted to enter your name and contact details, the destination, travel dates, number of participants, minimum number of rooms, budget, and additional information if necessary. A Naboo representative will then contact you with personalized suggestions.

Requesting a Quote. Saved Business Travel Services can be found in your Account space. You can review estimates or request quotes from Service Providers. To receive a quote from a Service Provider, you must confirm your phone number and ensure that you have provided accurate details related to your Event (travel dates, participant count, budget, etc.). It is your sole responsibility to provide us with complete and accurate information.

Some services may require you to request a commercial proposal through a designated tab. In those cases, Naboo will follow up with you directly.

Shared Search Criteria. Certain Service Providers will have access to information regarding your search criteria, including: Client entity name, type of Event, Event location, date(s), number of participants, budget, and additional services requested (catering, activities, and workspaces). This access allows Service Providers who fit your exact criteria to respond directly to your request and offer a quote.

Finalizing your Reservation. Upon receiving the quotes, you can review a summary of the Business Travel Services requested, the total cost of the Event, and the required deposit. After reviewing the quotes, you can select the Business Travel Service(s) of your choice by clicking “Book” on the selected Quote.

BY OFFICIALLY BOOKING AND FINALIZING YOUR RESERVATION, YOU ARE ELECTRONICALLY SIGNING OUR BUSINESS TRAVEL AGREEMENT AND THE QUOTE. PLEASE TAKE CARE TO THOROUGHLY READ THROUGH THESE DOCUMENTS. THESE DOCUMENTS, ALONG WITH THE SERVICE PROVIDER’S GENERAL TERMS AND CONDITIONS, COLLECTIVELY FORM THE IMPLEMENTATION AGREEMENT, AND UPON SIGNATURE, YOUR RESERVATION BECOMES LEGALLY BINDING. Upon confirmation, you will see a summary of your reservation, including a detailed invoice, travel information, and access to all the relevant documents.

If the reservation is subject to prior verification of availability, Naboo will follow up with you to confirm availability.

Deposit & Payment. Once your reservation is confirmed, you must pay the deposit amount shown on the invoice according to the signed Agreement. Fees for Naboo’s Services are also payable upon confirmation of the reservation. Failure to pay on time may result in the cancellation of your Event.

Payment and final validation of your Event constitutes proof of the entirety of your reservation.

Article 9. Fees & Payment

Transparent Intermediary. Naboo invoices the Client as a transparent intermediary on behalf of Service Providers, pursuant to a mandate agreement.

Payment Schedule. Payment for your reservation will be billed in three parts:

  1. a deposit, invoiced upon confirmation of your reservation;
  2. remaining balance 30 days before the start of the Event;
  3. adjustments, if applicable, after the Event.

Specific payment terms are defined in the relevant Implementation Agreement. Clients may be requested to pay the full amount of the Business Travel Services at the time of the reservation.

Service Fees. Fees for Naboo’s Services are payable as part of the deposit payment upon reservation. Fees are subject to vary according to modifications made to the Business Travel Services requested.

Taxes. Taxes applicable to your reservation, such as VAT, are at your charge.

Currency. All amounts are invoiced in the currency listed on the platform. Multiple currencies are supported depending on the location of your Event (EUR, GBP, USD, AUD, CHF…).

Payment Methods. Payments may be made by bank transfer or card, using Stripe. Clients in the UK may only pay by corporate card and may not use personal bank cards.

Late Payment. Late payment may result in penalty fees and recovery fees, as permitted under applicable law and specified in the relevant Agreement. Failure to pay the remaining balance may lead to the cancellation of your Event, and any sums already paid will not be refunded.

Disputes. Please contact us promptly in case of questions or disputes regarding your invoice. Any undisputed invoice past its due date will incur the penalties above.

Article 10. Modifications and Cancellations

Service Provider’s Terms and Conditions. Modification and cancellation terms are governed by the Service Provider’s general terms and conditions, which are available for review in your Account space under the relevant reservation.

Refunds. Refunds, if applicable, depend on the Service Provider’s policy and the timing of your request.
